These Terms of Service ("Terms") govern your access to and use of ZNDT, a marketplace platform operated by ZNDT AI Corp ("ZNDT," "we," "us," or "our"), a corporation incorporated in the State of Delaware, United States, with a registered address at 1007 N Orange St., 4th Floor, 5637, Wilmington, DE 19801, USA. By accessing ZNDT, creating an account, or using the platform as a merchant or customer, you agree to these Terms. If you do not agree, do not use the platform.
ZNDT is a marketplace platform that helps small businesses — including surf schools, cafés, gyms, restaurants, food vendors, fitness studios, guided-experience operators, and similar small merchants — accept card payments from their customers, including travelers paying with US and international cards. ZNDT facilitates these transactions. ZNDT does not custody merchant funds.
All card payments on the ZNDT platform are processed through Stripe, Inc. Each merchant on ZNDT operates with a Stripe Connect Express sub-account in their own name. When a customer pays, funds settle directly from the customer's card issuer, through Stripe, to the merchant's bank account. ZNDT charges a transparent platform fee, disclosed at the point of transaction, which is deducted from the gross payment before settlement to the merchant. Use of Stripe is also subject to the Stripe Connected Account Agreement and Stripe Services Agreement. By using ZNDT as a merchant, you also agree to those terms.
Merchants on ZNDT agree to: deliver the goods or services advertised on their merchant profile in the manner described; set, display, and honor their own refund and cancellation policies; comply with all applicable federal, state, and local laws, including tax, licensing, food safety, and consumer protection laws; maintain accurate business and bank information on their Stripe Connect Express account; and handle customer service inquiries related to goods and services they sell.
Customers using ZNDT agree to authorize payments only for legitimate purchases, attempt to resolve disputes about goods or services with the merchant before initiating chargebacks where possible, and provide accurate identifying information at the point of payment.
ZNDT charges a platform fee of 3.5% on each transaction, in addition to underlying Stripe processing fees. This fee is disclosed at the point of transaction and deducted from the gross payment before settlement to the merchant. Platform fees may vary by jurisdiction, merchant category, or transaction type, and ZNDT may update fees with reasonable advance notice to merchants. The current applicable fee is always shown to merchants in their dashboard and to customers at checkout.
You may not use ZNDT to process payments for goods or services that violate applicable law; process payments for businesses or product categories prohibited by Stripe's Restricted Businesses list; engage in fraud, money laundering, or any deceptive practice; or misrepresent the goods or services being sold. ZNDT may suspend or terminate accounts that violate these provisions.
Refunds are governed by the ZNDT Refund Policy. Each merchant sets its own refund policy, displayed on its profile. ZNDT facilitates refund execution back to the customer's original payment card.
To the maximum extent permitted by law, ZNDT and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising from your use of the platform. ZNDT's total cumulative liability for any claim shall not exceed the platform fees ZNDT received from you in the 12 months preceding the claim.
You may stop using ZNDT at any time. ZNDT may suspend or terminate your access if you violate these Terms, applicable law, or pose risk to other users.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute will be brought in the state or federal courts located in Delaware.
ZNDT may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use of the platform after changes take effect constitutes acceptance.
